Tom, I might not have all the legal wording down, but essentially, Leslie Rudd purchased the assets (building, name, inventory) and the debt was moved to another company. So Oakville Grocery in Oakville looks and operates as it always did, but it is under different ownership (Rudd) and it is not under obligation to pay those who sold goods to the old owners. The worst part of the scenario (from my point of view) is that many of us who got stuck were new, small wineries who were “courted” by a certain wine buyer who more than likely knew they were in trouble. That’s the part that has left the worst feeling…that is, aside from letting go of inventory for no…oh, sorry…little return.
Merrill,
I wasn’t implying that the new owners of OG were obligated to pay the old OG’s debts…unless they agreed to do so in the buyout. I was just verifying that the Rudd’s were the
new owners. When I was in there a few weeks ago…it looked pretty much as I remembered it from yrs ago. I went into the OG down in PaloAlto. back when it existed,
and almost gagged from the feeling of sleek/ritzy ambience. High-tailed it out of there.
Sorry you were out that amount of $$'s. And for everybody else. It was pretty unethical for that wine buyer to be hustling you when he had to have known the OG
was in precarious financial condition. I trust he became a pariah in the Vally and has moved on to other things.

Not concluded here…no check yet…they are into me for $1800.
Oh well.
Yeah the little weasle still shows up and tastes at every Pinot Days…

I will say that while I still love Leslie’s Press in St Helena, I WILL NOT shop at Oakville Grocery ever when in Napa. I just can’t support what happened to many a small winery with their bankruptcy.
I have only been in there once or twice, but let’s not forget that Leslie Rudd did nothing wrong here. They acquired assets of a bankrupt company. Very common business practice.
While that may be true, I also understand that the wine community in Napa, as elsewhere, is also something of a fraternal community. For Rudd to purchase the assets with the knowledge that, in all likelihood, a lot of small producers would get screwed could reasonably leave a bitter taste in the mouths of those in the community.
But the result would have been the same if Rudd did not purchase the assets. In fact, it is likely that if he did not purchase the assets, the bankruptcy estate would have brught in less in an asset sale, leading to an even lower recovery by the wineries, or possibly no recovery at all.
Agreed, Bruce, these wineries were going to get screwed anyways.
OG is a “landmark” of sorts there. Rudd did a “good” thing by keeping it in tact.
You cannot expect Rudd to start paying off wineries for debts that were not their’s.
I don’t hold it against Rudd at all. I enjoy Press Restaurant and Dean & DeLuca, where I sometimes shop and they do sell my wine. No, I think Rudd is a businessman, and he “saved” an important landmark for tourists, which we Napa residents ultimately benefit from. No, my problem is with the former owners and the way the whole thing went down. But, as I said in the title, it is finally concluded. Not sure why Dain has not received his money…maybe it is in the mail, as he is not local.
I was surprised to get anything at all back on that bad debt and didn’t expect Rudd to pay it off. Still, it would have been nice to get offered some of the unsold inventory.
Unsold inventory is an asset. Rudd acquired and paid for the assets, right?
If they got less inventory, then they would have paid less.

I’m sure legally you are correct. But to me, unsold and unpaid for inventory should still belong to the supplier. I would have been happy to sell some wine to Leslie Rudd.
Oh well.
Randy,
I understand, but I am speaking legally.
You should not hold this over Rudd, in my opinion. A business decision was made.
Still nothing here…
I don’t have any ill will for Rudd, they did nothing illegal. I still won’t shop there. The liability of a bad taste in my mouth for the whole thing transfered to the location for me.

By the way Merrill, who sent the check to you, just so I can be on the lookout.

OGC LLC from Livermore. Did you receive previous communications from them? You filled out the Proof of Claim, no? They are supposed to have a website http://www.ogcabc.com" onclick="window.open(this.href);return false;, though I hve not had occasion to access it.

I am with Posner on this one. Rudd did nothing wrong: Strictly business here. Now that it’s over and under a new owner I can shop there again when cruising the valley.
